The services ordered by Spinview are identified in separate Statements of Work or formal email communications with a Statement of Work heading. Each Statement of Work together with the terms it references forms a separate agreement.
The Service Provider must provide services in accordance with the applicable Statement of Work and good industry practice, work with Spinview’s reasonable requests, apply appropriate knowledge and skill, observe safety standards, provide required information and notify Spinview if it cannot provide services.
The terms set out the ownership and assignment of intellectual property rights, invoicing and VAT treatment, confidentiality obligations and the agreed limitations of liability.
Either party may terminate an agreement for material breach or insolvency events in the circumstances set out in the terms. The agreement is governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
